| Abstract | Comments on the Chancery Division decision in Shepherds Investments Ltd v Walters on whether directors of an asset management company specialising in insurance policies who initiated the establishment of a rival business during their terms of office were in breach of their fiduciary duties. Reviews the policy adopted in previous case law, the court's approach to conflicting authorities and its reliance on the Court of Appeal ruling in Item Software (UK) Ltd v Fassihi. Considers the implications of the judgment's prescription of positive fiduciary duties and the continuing influence of the historic rule in London and Mashonaland Exploration Co v New Mashonaland Exploration Co. |
